How to Register a Private Limited Company in India
1. Obtain Digital Signature Certificates (DSC)
The entire incorporation process is online. Therefore, the proposed directors must first obtain a Class 3 Digital Signature Certificate (DSC) from certified agencies (like eMudhra or Sify). This is used to digitally sign the incorporation forms.
2. Apply for Name Approval (RUN/SPICe+ Part A)
You need to reserve your company name using Part A of the SPICe+ form on the Ministry of Corporate Affairs (MCA) portal. You can submit two name preferences. Ensure your name is unique and does not infringe on existing trademarks.
3. Draft the MOA and AOA
Once the name is approved, you must draft the core constitutional documents of the company:
- Memorandum of Association (MOA): Defines the company's objectives and scope of operations.
- Articles of Association (AOA): Details the internal rules, regulations, and management structure of the company.
Once incorporated, register with the DPIIT under the Startup India scheme to access tax holidays, fast-track patent processing, and easier public procurement norms.
4. File SPICe+ Part B
This is the main incorporation form. It is a comprehensive form that simultaneously applies for:
- Incorporation Certificate
- Director Identification Number (DIN)
- PAN (Permanent Account Number)
- TAN (Tax Deduction and Collection Account Number)
- EPFO and ESIC Registration
- Professional Tax Registration (in specific states)
- Bank Account Opening
5. Certificate of Incorporation (COI)
If the MCA finds all documents and forms in order, they will issue the Certificate of Incorporation (COI), along with the company's PAN and TAN. Congratulations, your Private Limited company is now legally active! The next immediate step is to deposit the initial share capital into your new corporate bank account.
